1. Acceptance of Terms

Welcome to ENGINEERED TEMPERATURE SOLUTIONS LLC. By accessing or using our website at engineered.shop (the "Site") and engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use our Site or services.

These Terms constitute a legally binding agreement between you ("Client," "User," or "you") and ENGINEERED TEMPERATURE SOLUTIONS LLC ("Company," "we," "us," or "our").

2. Services Overview

ENGINEERED TEMPERATURE SOLUTIONS LLC provides industrial and commercial HVAC, refrigeration, process cooling, temperature monitoring, and related engineering services. The specific scope, deliverables, and terms of each project shall be outlined in a separate Service Agreement executed between the Company and the Client.

3. Use of the Website

3.1 License

We grant you a limited, non-exclusive, non-transferable license to access and use the Site for informational purposes and to inquire about our services.

3.2 Prohibited Uses

You agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Site or our systems
  • Interfere with the proper functioning of the Site

4. Intellectual Property

5. Service Agreements

All engineering services provided by the Company are governed by separate written Service Agreements. These Terms do not replace or supersede the specific terms of any Service Agreement. In the event of a conflict between these Terms and a Service Agreement, the Service Agreement shall prevail.

6. Quotes and Pricing

  • All quotes provided are valid for the period stated in the quote, typically 30 days from the date of issuance.
  • Pricing is subject to change based on material costs, scope changes, or market conditions, unless a fixed-price agreement has been executed.
  • Final pricing will be confirmed in the Service Agreement.

7. Payment Terms

Payment terms, including deposit requirements, milestone payments, and final payment schedules, will be specified in the Service Agreement. Late payments may be subject to interest charges as permitted by applicable law.

8. Warranties

8.1 Company Warranty

We warrant that our services will be performed in a professional and workmanlike manner in accordance with industry standards. Equipment warranties provided by manufacturers will be passed through to the Client.

8.2 Disclaimer

EXCEPT AS EXPRESSLY STATED IN A SERVICE AGREEMENT, THE COMPANY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ENGINEERED TEMPERATURE SOLUTIONS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SITE OR SERVICES, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE.

10. Indemnification

You agree to indemnify, defend, and hold harmless ENGINEERED TEMPERATURE SOLUTIONS LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Site or violation of these Terms.

11. Limitation of Claims

Any claim arising out of or relating to these Terms or the use of the Site or services must be commenced within one (1) year after the cause of action accrues; otherwise, such claim is permanently barred.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Licking County, Ohio.

13. Dispute Resolution

Before initiating any legal proceeding, the parties agree to first attempt to resolve any dispute through good-faith negotiations. If the dispute cannot be resolved within thirty (30) days, the parties may pursue mediation or arbitration as mutually agreed.

14. Force Majeure

The Company shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, strikes, supply chain disruptions, or governmental actions.

15. Entire Agreement

These Terms, together with any Service Agreements and Privacy Policy, constitute the entire agreement between you and the Company regarding the use of the Site and services, superseding any prior agreements or understandings.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

17. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. The failure of the Company to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

18. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site after any modifications indicates your acceptance of the updated Terms. We encourage you to review these Terms periodically.
